I've seen others but this is what I use: Confidentiality and Non-Circumvention Agreement This Non-Disclosure and Non-Circumvention Agreement (the Agreement) is entered into as of rch between . and/or representative(s) (Recipient) and and or it’s representative(s) (Consultant) with regard to the property located at . (Property) Recitals The Consultant and/or Consultant’s Agent are furnishing certain Confidential Information (as defined in Section 1 of the Agreement below) to the Recipient that is proprietary in an effort to evaluate, buy/sell, exchange, trade, lease or option commercial/investment real estate. The Consultants are willing to have the Confidential Information disclosed to the Recipient for the limited purpose, and subject to the terms and conditions, set forth in this Agreement. Agreement 1. Definition of Confidential Information. For purposes of this Agreement, the term "Confidential Information" means all information disclosed to the Recipient by or on behalf of the Consultant and/or Consultant’s Agent either directly or indirectly and either in writing or orally, relating to the disclosure of business information described herein. The Information includes, without limitation, any data or information related to any and all information related to the Property described above. Information shall also include the terms of this Agreement. 2. Use of Confidential Information. The Recipient shall use the Confidential Information exclusively for the purpose of: evaluating property and potential business relationships and opportunities with the Consultant and/or to advise the Consultant. Except as required by law, the Recipient shall not disclose any Confidential Information to any third party excepting employees of the Recipient who have expressly agreed in writing to be bound by the terms of this Agreement or make use of any Confidential Information in any manner without the Consultant’s prior written consent, that may be given or withheld by the Consultant and/or Consultants Agent in their sole discretion. 3. Non-Circumvention. In consideration of the Consultant and/or Consultant’s Agent disclosure of the Confidential Information, the Recipient shall not at any time prior to the date immediately preceding the second anniversary date of this Agreement, with regard to the purchase, sale, lease, or any other business operation, attempt in any manner to deal directly in any manner or circumvent the Consultants or otherwise exploit the relationship with the Consultant’s Agent or attempt to directly contact the Consultant’s Agent without express permission from the Consultant. 4. Ownership and Return of Confidential Information. The Recipient acknowledges that the Recipient has no Ownership or proprietary rights in the Confidential Information. Upon the Consultants request, the Recipient shall immediately return to the Consultants all Confidential Information provided to them, and shall retain no materials relating thereto, including copies of, notes on, or abstracts of, any Confidential Information. 5. Information Disclosure. Any information given herewith, or received at any time by Consultant(s), is obtained from sources we deem reliable. However, Consultants and its representatives are not responsible for misstatements of facts, errors, or omissions. No warranty of any kind, whether expressed or implied, is given. 6. Further Agreements. Nothing contained in this Agreement shall be deemed, by implication or otherwise, to convey to the Recipient any rights in any Confidential Information, nor shall this Agreement be deemed a commitment of any kind by either the Consultants, Consultant’s Agent or the Recipient to enter into any further Agreements with each other with respect to any Confidential Information. 6.1 The validity, construction and performance of this Agreement shall be governed by the internal laws of the State of California, without regard to provisions regarding conflicts of law. 6.2 This Agreement, including any attached Exhibits, constitutes the entire Agreement between the Consultants and the Recipient concerning this agreement, and replaces all previous communications, representations, understandings, and Agreements, whether verbal or written between the Consultants and the Recipient or any official or representative of either of them. In witness of this, the Consultants and the Recipient have executed this Agreement as of the day and year first written above. It seems like you have gone through a lot Diana. If I were you I would rewind and go back to the basics. Dean suggested contacted offices and using RE/MAX and Keller Williams and they seem to be be pretty handy so far. I am still interviewing them, but I receive much better listings then the ones I was able to obtain on my own.

platinum view profile send message history progress dinlow7033 I have wasted 6 months trying to find an agent that understands wholesaling I have sent out so many letters of intent with my agents contact on them and when the selling agents call him he is refusing the write an purchase agreement unless I have a committed buyer in place ,and wants me to call my buyers before I have the property locked up and when I've done that the they all want to now the address and where it is then I'm left out or I should give him my buyers list. Also I found a great deal in a great location made an offer of the asking price he has refuse to write a purchase agreement because the house has been only on the market for three day and that does not match your criteria of 90 days plus what I said about the cash buyers.He also said no to 14 days inspection he was not going to add that in. The first deal contract I asked for 14 and they the selling agent only gave 5 days .All my cash buyers responded in 24 hours. I had to back out. Parties: Management Company LLC as Buyer, or her assignee, With a standard sale MLS I'm trying to do an assignment of contract. Which is how The cash buyers got mentioned I had to back out of my first deal. Also I have been sending out a lot of offers In a letter of Intent with the agent as whom to contact. I'm really upset and I'm try to find away to turn this around. Today Called the agent I have been working with Told him in a message I buy in cash that I may use my cash or my investors cash not to worry about me closing. I feel he was not willing to work with me or deliver my criteria so I was looking for a new agent Also I hope he would be professional enough to let me know if any of my offers had been accepted. Following through with the letters of intent I sent out with phone calls One REO the selling agent claimed he got the letter of intent but not the proofs of funds letter, So I met with him gave him the proofs of funds letter filled out a purchase agreement . They are investor friendly but they only work with REO's
